Terms of Service

1. Acceptance of Terms

By accessing or using the Microsites application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Microsites is an internal marketing tool provided by CBT Nuggets that enables authorized users to create and manage campaign-specific landing pages for lead generation. The Service includes:

  • Creation and management of microsites
  • Configurable form builders for lead capture
  • Integration with NuggetCRM for lead management
  • Analytics and reporting features

3. Access and Authorization

Access to the Service is restricted to authorized CBT Nuggets employees with valid @cbtnuggets.com email addresses. By using the Service, you represent that:

  • You are an authorized employee of CBT Nuggets
  • You have the authority to bind yourself to these Terms
  • You will use the Service only for legitimate business purposes

4. User Responsibilities

As a user of the Service, you agree to:

  • Maintain the confidentiality of your account credentials
  • Use the Service in compliance with all applicable laws and regulations
  • Not share access with unauthorized individuals
  • Report any security vulnerabilities or unauthorized access immediately
  • Create content that is accurate, lawful, and does not infringe on third-party rights

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Collect or store personal data in violation of privacy laws
  • Transmit malicious code or interfere with the Service's operation
  • Attempt to gain unauthorized access to any systems or data
  • Create misleading or deceptive content
  • Infringe on intellectual property rights of others

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by CBT Nuggets and is protected by copyright, trademark, and other intellectual property laws.

Content you create using the Service remains the property of CBT Nuggets. You retain no ownership rights to microsites or other content created through the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect information.

Lead data collected through microsites is processed in accordance with applicable data protection laws and CBT Nuggets' data handling policies.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with reasonable notice
  • Modify or discontinue features at our discretion
  • Suspend access for security or compliance reasons

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CBT NUGGETS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify and hold harmless CBT Nuggets, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • Any data associated with your account may be deleted
  • Provisions that by their nature should survive will remain in effect

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes through the Service or by other means. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions.
